1. Who we are
Neutraza is operated by Neutraza International LLC, a limited liability company organized under the laws of the State of Delaware, United States, with its registered office at 8 The Green, Suite A, Dover, DE 19901, EIN 42-1788404 (“Neutraza”, “we” or “us”). Contact us at contact@neutraza.com.
By creating an account or adopting a FRU, you accept these terms. Your acceptance and the agreements made here are as valid as signed paper contracts (E-SIGN Act in the United States, Law 14,063/2020 in Brazil and Regulation (EU) 910/2014 in Spain).
To sign up you must be 18 or older, or act on behalf of a company you are authorized to represent.
2. What a FRU is
A FRU (Forest Reserve Unit) represents your support for one specific hectare of Legal Reserve, kept standing by a landowner, the Guardian, under a preservation contract. In Brazil it is a Payment for Environmental Services instrument under Law 14,119/2021.
A FRU is not a carbon credit, does not give you ownership or possession of land, and is not an investment, security or financial instrument: there is no promise of profit, return or resale. We make no promise about tax or accounting treatment; please consult your own advisors.
3. Your account
Keep your details accurate and your password private. You are responsible for activity on your account. We may suspend accounts used for fraud, with false information or in breach of these terms, and we will always explain why unless the law prevents us.
4. Price, payment and certificate
The price of each FRU and the total to pay are shown before you buy. Amounts in other currencies are informational conversions; the amount shown at payment is what you are charged.
Payments are processed by Stripe. We never store your full card number.
Once payment is confirmed, we issue your digital certificate, with a unique number and a verifiable hash, and the FRU’s public page starts showing the hectare’s traceability. An issued certificate is never edited: if something changes, we issue a new one and the previous one is marked as changed.
5. Plans and automatic renewal
Monthly and annual plans renew automatically at the same price and for the same period until you cancel. We show the price, billing period and how to cancel before you subscribe, and we email you before each annual renewal (California Business and Professions Code §17600 et seq.).
You can cancel at any time in your dashboard, as easily as you signed up. Cancellation takes effect at the end of the period already paid, with no fee.
6. Right to cancel
You may cancel a purchase within 7 calendar days, without giving a reason, and get a full refund to the original payment method, as guaranteed by the Brazilian Consumer Protection Code (Law 8,078/1990, art. 49) and offered to every customer. If you live in the European Union, the period is 14 calendar days, as required by Spanish consumer law (Royal Legislative Decree 1/2007, arts. 102–108). The certificate for a cancelled purchase is marked as cancelled.
To cancel, use your dashboard or write to contact@neutraza.com.
7. Rules for Guardians
A Guardian declares that they are the owner or lawful holder of the property, that the Rural Environmental Registry (CAR, Law 12,651/2012) and area data are true, and that they will keep the forest preserved for the length of the contract. Before a reserve goes live, we check the CAR, the documents and the satellite imagery.
Payouts are made through Stripe Connect under each reserve’s contract. If preservation is breached, we may suspend the reserve, withhold payouts tied to the breach and notify the affected Holders.
8. Verification and monitoring
Every reserve is monitored with satellite imagery (Sentinel-1 and Sentinel-2, from the European Copernicus programme), the CAR registry and an independent audit. If a hectare stops meeting its preservation commitment, we notify the Holder and offer either an equivalent hectare or a refund proportional to the remaining period.
9. Acceptable use and intellectual property
You may not use the platform for fraud, to break the law or infringe the rights of others, to access areas without authorization, to scrape the database in bulk or to disrupt the site.
Neutraza’s trademarks, texts, maps and software are protected by law. You are free to share your FRU’s public page and your certificate.
10. Liability
We are responsible for the services we provide, as the law requires. We are not liable for events beyond our control, such as fires, weather events or third-party actions on the land (without prejudice to section 8), or for tax or regulatory decisions about the FRU in other countries.
Nothing in these terms excludes or limits rights that the law of your country gives you as a consumer, or our liability for fraud or gross negligence.
11. Governing law and disputes
If you are a consumer, the consumer protection laws of the country where you live apply, and you may bring a claim before the courts where you live (in Brazil, Consumer Protection Code, art. 101; in the European Union, Regulations (EU) 1215/2012 and (EC) 593/2008). Otherwise, these terms are governed by the laws of the State of Delaware, United States.
Before going to court, please contact us at contact@neutraza.com: we answer within 15 days. In Brazil you can also use consumidor.gov.br.
12. Changes to these terms
If we make a material change, we will tell you by email or on the site at least 30 days in advance. Changes do not affect purchases already made.
